Shareholder Update

In its announcement of 1 November 2021, the independent committee of the board of the Company (the "Independent Committee") assured shareholders that it would seek to address greater minority shareholder protection as a matter of priority. The Independent Committee would like to reassure holders that it is currently working with its advisors in respect of proposed amendments to the constitutive documents of the Company to address this issue. Any such amendment would require the vote of a simple majority of directors and a simple majority of shareholders present or represented in general meeting. Based on the support demonstrated by the outcome of the reverse book build, the Independent Committee is confident of these majorities. The Independent Committee will seek to move this as an agenda item at the Board's earliest convenience.

DP Eurasia N.V. is the exclusive master franchisee of the Domino's Pizza brand in Turkey, Russia, Azerbaijan and Georgia. The Company was admitted to the premium listing segment of the Official List of the Financial Conduct Authority and to trading on the main market for listed securities of the London Stock Exchange plc on 3 July 2017.
