Director/PDMR Shareholdings

dotdigital Group Plc (AIM:DOTD), the leading provider of intuitive Software as a Service ("SaaS") and managed services to digital marketing professionals, was notified on 20 November 2015 that Simon Bird, Executive Director of the Company, and Peter Simmonds, non-Executive Director of the Company, disposed of 13,717,671 and 2,500,000 ordinary shares of 0.5 pence each in the capital the Company ("Ordinary Shares"), respectively, at a price of 42.88 pence per Ordinary Share, in order to satisfy strong demand from institutional investors.

In addition, on 20 November 2015, Milan Patel, Chief Financial Officer of the Company, exercised options at 18.25 pence per share over 1,027,397 Ordinary Shares (the "New Shares"). Furthermore, the Company was notified on 20 November 2015 that, in part to settle the tax liability arising on the option exercise, Milan Patel, on that date, disposed of 500,000 Ordinary Shares at a price of 42.88 pence per Ordinary Share.

Application has been made for the New Shares, which rank pari passu in all respects with the Company's existing Ordinary Shares, to be admitted to trading on AIM which is expected to occur on or about 26 November 2015.

Following this issue, the Company's issued share capital consists of 292,626,859 Ordinary Shares of which a total of 660,000 Ordinary Shares are held in treasury. Therefore, the total number of Ordinary Shares with voting rights in the Company is 291,966,859.

The above figure of 291,966,859 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
