NOTIFICATION OF TRANSACTIONS OF DIRECTORS/PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY AND CONNECTED PERSONS

Dunelm Group plc ("Dunelm" or "the Company") announces that it has been advised by Will Adderley, Executive Deputy Chairman, that on 4 May 2012 he transferred 50,600,000 ordinary shares in the Company to WA Capital Limited ("WA Capital").

WA Capital has been established by Will Adderley to act as a long term holding company for his Dunelm shareholding. It is a UK limited company, of which he is sole shareholder and director, and is UK resident for taxation purposes.

WA Capital acquired the shares for a consideration of ordinary shares and loan notes in WA Capital, at no loss or profit to either party.

Following this transfer, there is no change to Will Adderley's full time position within the Company, or indeed his shareholding, which is now structured as set out below:

WA Capital Limited (beneficial) 50,600,000 (25.02%)

Will Adderley (personal / beneficial) 11,103,398 (5.48%)

Leicester Foundation (trustee) 1,167,250 (0.58%)

Paddocks Trust (trustee) 172,750 (0.09%)

Total interest: 63,043,398 (31.2%)

The shares transferred to WA Capital are subject to the same restrictions agreed by Will Adderley at the time of the placing of a proportion of his holding in the Company on 5 March 2012. WA Capital has also entered into the Relationship Agreement between the Company and the Adderley family that was put in place at the time of the Company's flotation in 2006.
