AWARDS MADE UNDER THE COMPANY'S PERFORMANCE SHARE PLAN IN THE FORM OF NIL COST OPTIONS. SUBJECT TO PERFORMANCE CONDITIONS MEASURED OVER THREE YEARS 60 PER CENT OF THE AWARD WILL VEST AND BECOME EXERCISABLE ON THE THIRD ANNIVERSARY AND 40 PER CENT WILL VEST AND BECOME EXERCISABLE ON THE FOURTH ANNIVERSARY OF GRANT.
