Noneof these ordinary shares is held in Treasury. Therefore, the total number of voting rights in Dialight is 31,239,501. The above figure of 31,239,501 shares may be used by shareholders as thedenominator for the calculations by which they will determine if they arerequired to notify their interest in, or a change to their interest in, Dialightunder the FSA's Disclosure and Transparency Rules.
