Resolutions
Copies of the resolutions put to shareholders of Dialight plc ("Company") and passed by a vote on a show of hands by the required majority at the 2016 Annual General Meeting (2016 AGM), have today been submitted to the National Storage Mechanism and will shortly be available for inspection at www.hemscott.com/nsm.do:

The total number of shares in issue as at 26 April 2016 was 32,503,258. The total number of votes received at the close of business on 22 April 2016 was 23,152,477 representing 71.23% of the issued share capital as at 22 April 2016.
Board changes
Included in the resolutions passed were resolution numbers 10 and 11 dealing with the respective election of Martin L Rapp and David Thomas as new Non-Executive Directors of the Company with effect from the 2016 AGM. As also previously advised, Tracey Graham and Robert Lambourne stepped down as Non-Executive Directors with effect from the conclusion of the 2016 AGM.
At the time of his appointment as a Non-Executive Director, Martin L Rapp holds 1,500 ordinary shares of 1.89 pence each in Dialight plc. This notification is made in accordance with DTR 3.1.4R(1).
