b) | Nature of the transaction | The Company announced today that it raised proceeds of approximately £64 million (before expenses) through a placing of 42,606,119 new ordinary shares of 150 pence each in the capital of the Company (the 'Placing and Subscription Shares') at a price of 150 pence per Share (the "Placing"). The Placing is conditional upon, amongst other things, the Placing and Subscription Shares being admitted to the premium listing segment of the Official List of the Financial Conduct Authority and to trading on the main market of the London Stock Exchange plc (together, "Admission"). The Company was informed today that the Directors listed below subscribed for the below numbers of new ordinary shares of 150 pence each in the capital of the Company concurrently with the Placing.
