Exercise of warrants

Dev Clever, a leading developer of career development and virtual reality careers guidance platforms announces that it has received notice of the exercise of warrants over 2,290,000 ordinary shares of 1 pence each in the share capital of the Company ("Ordinary Shares") at an exercise price of 1 pence per share from Jarvis Investment Management Limited ("Jarvis"). The aggregate gross proceeds of this exercise are £22,900.

Following the exercise of these warrants, Jarvis has no further warrants and the number of shares over which other warrants are outstanding is as follows:

The Company has made application for the 2,290,000 new Ordinary Shares to be admitted to the standard segment of the Official List and to trading on the Main Market of the London Stock Exchange. Admission is expected to occur at 8:00 a.m. on Monday, 5 August 2019. The new Ordinary Shares will rank pari passu with the existing Ordinary Shares.

For the purpose of the Disclosure and Transparency Rules, following the admission of 2,290,000 new Ordinary Shares, the Company's total issued ordinary share capital will consist of 375,590,000 Ordinary Shares. The Company holds no ordinary shares in Treasury. As a result, this figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Disclosure and Transparency Rules.
