Exercise of Options / PDMR shareholding

Dev Clever, a leading developer of mobile and immersive experiences, announces that the Company has issued 18,593,926 new ordinary shares of 1p each ("Ordinary Shares") as a result of an exercise of options under the Company's EMI Share Option Plan, including the exercise of 10,000,000 options by Nicholas Ydlibi and 4,000,000 options by Timothy Heaton, who are directors of the Company.

The Company's shares are currently suspended pending the re-admission of the Company to the Main Market of the London Stock Exchange ("Re-admission). The new Ordinary Shares, which will rank pari passu with the existing Ordinary Shares, will be admitted to trading upon Re-admission.

Following the issue of the new Ordinary Shares, the Company will have in issue a total of 847,708,200 Ordinary Shares, each with one voting right. The Company does not hold any shares in Treasury. Therefore, the Company's total number of ordinary shares and voting rights will be 847,708,200.

The above figure of 847,708,200 may be used by shareholders from admission as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
