Correction to AGM Notice
Further to the announcement released on 26 August 2025 and the publication and dispatch of a circular to shareholders containing notice of the resolutions to be considered at the AGM (the "Notice"), it has come to the attention of the Company that the Notice contains a typographical error. The Company wishes to notify of a correction to the Notice.
The correction relates to a typographical error in Resolutions 10, 11, 12 and paragraph (d) of Resolution 13 of the Notice (and in the corresponding explanatory notes to Resolutions 11, 12 and 13)that states, in each case, that the relevant authority shall apply until: '…the end of the Company's next annual general meeting or until the close of business on 19 September 2025…'.
Each resolution (and explanatory note as applicable) should instead state that the relevant authority shall apply until: '…the end of the Company's next annual general meeting or until the close of business on 19 September 2026…'.
As this is a patent error, no new Form of Proxy is required to be posted to shareholders, the resolutions in the Form of Proxy will apply to the notice and the resolutions as amended on the basis set out above and the Company will proceed to put the relevant resolutions as amended to the vote at the AGM.
A revised version of the Notice reflecting these amendments will be made available to shareholders on the Company's website: www.debenhamsgroup.com/investors/agm/.
