Transaction in Own Shares

Debenhams plc (the "Company") announces that on 26 November 2012 it transferred 62,177 ordinary shares (formerly held as treasury shares) to participants of The Debenhams Performance Share Plan and The Debenhams 2006 Executive Share Option Scheme following the exercise of their awards/options under that Plan/Scheme. The prices paid for these shares were 85.45 pence per share in respect 5,851 shares awarded under The Debenhams 2006 Executive Share Option Scheme and 0.01 pence per share in respect of 56,326 shares awarded under The Debenhams Performance Share Plan.

Following the above transfer, the Company holds 28,452,158 ordinary shares as treasury shares. The total number of ordinary shares in issue (excluding shares held as treasury shares) is 1,258,354,141.

The total number of voting rights in the Company, excluding treasury shares, as at 26 November is 1,258,354,141. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FSA's Disclosure and Transparency Rules.
