Voting Rights and Capital
In accordance with DTR 5.6.1 Debenhams plcs' capital consists of 1,286,806,299 ordinary shares of 0.01p each with voting rights. The increase of 403,981,283 relates to the issue of shares on 26 June 2009 to shareholders following their application to acquire shares through the Company's Firm Placing and Placing and Open Offer, full terms of which is included in the Prospectus dated 5 June 2009. The Company does not hold any shares in Treasury.
The total number of voting rights in Debenhams plc is 1,286,806,299.
The above figure (1,286,806,299) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Debenhams plc under the FSA's Disclosure and Transparency Rules.
