Result of Annual General Meeting ("AGM") and Extraordinary General Meeting ("EGM")

Progressive Digital Media Group plc ("PDMG" or the "Company") announces that, at the AGM of the Company held earlier today, all resolutions put to shareholders were duly passed.

The Company is also pleased to announce that, at the EGM which followed immediately after the conclusion of the AGM, the resolutions put to shareholders in connection with the Placing and Capitalisation, as announced on 5 April 2012 and as set out in the Notice of General Meeting annexed to the circular of the Company posted to shareholders on the same date (the "Circular"), were duly passed.

The results of the proxy votes lodged in advance of the AGM and EGM will be available on the Company's website (http://www.progressivedigitalmedia.com) shortly.

Pursuant to the Placing and Capitalisation, application has been made to the London Stock Exchange for 155,555,555 new ordinary shares of 0.01 pence each ("Ordinary Shares") to be admitted to trading on AIM ("Admission"). It is expected that Admission will become effective and that dealings will commence in the new Ordinary Shares (and, where applicable, CREST members' accounts credited in respect of the new Ordinary Shares in uncertificated form) at 8 a.m. on 30 April 2012. Despatch of definitive certificates for the new Ordinary Shares in certificated form is expected to occur by 7 May 2012.

Following Admission, the Company's issued share capital will consist of 532,047,686 Ordinary Shares with voting rights. There are no Ordinary Shares held in treasury. Therefore, in accordance with the FSA's Disclosure and Transparency Rule 5.6.1, the Company confirms that following Admission, the total number of voting rights in PDMG will be 532,047,686.
