11. Additional Information
As previously disclosed in a Form 8.3 Opening Position Disclosure made by Summit DT Equity Holdings 3 LP ("Summit DT 3") in respect of Summit DT 3 and Summit DT CLN Holdings 4 ("Summit DT 4") dated 25 August 2022 (RNS Number: 2875X), Summit DT 3 and Summit DT 4 entered into a swap transaction in March 2022 (as last amended in June 2022) to reduce its long position. As at the date of such Form 8.3, Summit was required to dispose of 11,454,572 ordinary shares on expiry of such swap transaction, subject to satisfaction of certain conditions. Such shares were sold at market price subject to a variable floor price of at least 400p per share. The swap transaction has now expired and such conditions have now been satisfied. As a result, the Total Voting Rights attached to the ordinary shares held by Summit DT 3 and Summit DT 4 has decreased.
