Ceres Power Holdings plc13 April 2006 Ceres Power Holdings plc ("the Company") 13 April 2006 Director Dealings The Company announces details of the following exercises of options and warrantsand the sale of the following ordinary shares of 5p each ('Ordinary Shares') bycertain directors of the Company on 12 April 2006: 1. Mr. John Gunn, a non-executive director of the Company, sold 400,000Ordinary Shares at 315p per share. Mr. Gunn retains 85,280 Ordinary Shares inthe Company, representing approximately 0.15 per cent of the Company's issuedshare capital, in addition to 122,500 warrants over Ordinary Shares in theCompany. Mr. Gunn also has beneficial interests in 1,151,550 Ordinary Shares inthe Company in addition to 330,153 warrants over Ordinary Shares in the Company. 2. Mr. Philip Holbeche, Chairman of the Company, exercised 367,640 warrantsover Ordinary Shares in the Company and sold these Ordinary Shares at 315p pershare. Mr. Holbeche retains 716,400 Ordinary Shares in the Company, representingapproximately 1.25 per cent of the Company's issued share capital, together withoptions over 830,000 Ordinary Shares in the Company. 3. Dr. Peter Bance, Chief Executive of the Company, exercised 250,000options over Ordinary Shares in the Company and sold these at 315p per share.Dr. Bance retains 2,267,400 options over Ordinary Shares in the Company. 4. Dr. Andrew Baker, Operations Director of the Company, exercised 150,000options over Ordinary Shares in the Company and sold these at 315p per share.Dr. Baker retains 450,000 options over Ordinary Shares in the Company. The Company was informed on 13 April 2006 that Harry Fitzgibbons, anon-executive director of the Company, on 13 April 2006 sold 10,000 OrdinaryShares in the Company at 315p per share. Mr. Fitzgibbons' total holding in theCompany is now 160,000 Ordinary Shares, representing approximately 0.3% of theCompany's issued share capital.
