TClarke plc (the "Group")

Block Listing Application

TClarke plc announces that application has been made to the UK Listing Authority and the London Stock Exchange for a block listing of 466,050 ordinary shares of 10p each in the capital of the Company (the "Shares") to trading on the London Stock Exchange and to be admitted to the Official List in connection with the Group's 2011 Share Save scheme (the "Scheme"). These Shares may be issued from time to time pursuant to the exercise of options by employees participating in the Scheme.

When issued, the Shares will rank pari passu in all respects with the existing ordinary shares of the Group. Admission of the Shares is expected to take place on 15 January 2015.

As at today, there are 41,809,577 ordinary shares of 10 pence each in issue. The Group does not hold any shares in treasury. The Group will notify on a monthly basis when there are changes to the issued share capital of the Group, and these monthly figures may be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Group.
