Pantheon Leisure plc ('Pantheon' or 'the Company')
Result of General Meeting & Results of Tender Offer
Pantheon Leisure plc announces that at its General Meeting held earlier today, all resolutions were duly passed. As at 3 p.m. on 13 September 2010, the record date for the tender offer announced on 10 August 2010 ('Tender Offer'), acceptances had been received in respect of 33,162,841 ordinary shares in the Company, representing 72.89 per cent. of the shares subject of the Tender Offer and 27.52 per cent. of the issued share capital of the Company. Under the terms of the Tender Offer, shareholders who have tendered their ordinary shares in the Company will receive 0.4 pence per ordinary share.
The 33,162,841 ordinary shares tendered will be cancelled by the Company and following cancellation there will be 87,337,159 ordinary shares in issue.
The timetable of remaining events in relation to the Tender Offer is as follows:

| Cancellation of admission to trading of the Ordinary Shares on AIM | 8.00 a.m. 23 September 2010 |
| Despatch of cheques for Tender Offer proceeds | By 30 September 2010 |
As a result of the Tender Offer and subsequent cancellation of ordinary shares tendered, Westside Acquisitions Plc now have a beneficial interest in 75,000,000 ordinary shares representing approximately 85.87 per cent. of the issued share capital of the Company.
