Persons Discharging Managerial Responsibility ("PDMR")

Issue of equity

The Company announces that on 13 September 2016, it issued and allotted 29,225 new ordinary shares of 25p each in the Company ("Shares") pursuant to the exercise of SAYE Scheme options.

Application has been made to the London Stock Exchange for the Shares to be admitted to trading on AIM ("Admission"), and it is expected that Admission will become effective and trading will commence at 8.00am on 19 September 2016.

Following Admission of the Shares the Company's enlarged issued share capital will comprise 9,444,196 ordinary shares. The Company does not hold any ordinary Shares in treasury. Therefore the total number of ordinary Shares in the Company will be 9,444,196. This figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure Guidance and Transparency Rules.

Sale of Shares

The Company was notified today that on 12 September 2016, Robert Maddock, the husband of Isabelle Maddock, a Director of the Company, sold 1,100 Shares at a price of 935.0 pence per Share.

Acquisition of Shares by the Trustees of James Cropper PLC Share Incentive Plan

The Company was notified today that on 13 September 2016 the Trustees of James Cropper PLC Share Incentive Plan ("JC SIP Plan") acquired 2,237 Shares at a price of 952.5 pence per Share. This was to satisfy future releases under the James Cropper PLC Share Incentive Plan, in which participants, including executive directors, have a potential interest subject to the achievement of performance targets.

As a result of the above transaction, the JC SIP Plan is interested in 142,584 Shares, representing 1.5% of the issued share capital of the Company.

As a result of the change in interest of the JC SIP Plan, the non - beneficial interest of the following PDMR was increased by:
