NOTIFICATION OF TRANSACTIONS OF DIRECTORS AND PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY ("PDMRs")

The Company notifies that on 26 July 2016, James Cropper EBT Ltd sold 31,580 ordinary shares of 25p each ("Shares") to the Trustees of James Cropper PLC Share Incentive Plan ("SIP") at a price of 734.25p per Share.

The Shares purchased by the Trustees of the SIP will be used to satisfy the awards made today to the participants of the SIP Scheme. As a result of the above transaction, James Cropper EBT Ltd is now interested in 65,378 Shares, representing 0.71% of the issued share capital of the Company.

As a result of the movement in the holding of Shares in James Cropper EBT Ltd, the non - beneficial interest of the following PDMRs were reduced by:

Doug Mitchell (Non - Executive Director) 31,580 Shares

Jim Sharp (Non - Executive Director) 31,580 Shares

David Wilks (Non - Executive Director) 31,580 Shares

The Company further notifies that on 26 July 2016 the Trustees of James Cropper PLC Share Incentive Plan ("SIP") awarded 31,580 ordinary shares of 25p each ("Shares") in the Company to the participants of the SIP Scheme at a price of 734.25p per Share.

Under the SIP, Shares to be issued to participants are held by the SIP Trustees in their capacity as Trustees of the SIP. After a holding period of five years, Shares held by the SIP Trustees are transferred to participants. Beneficial rights to participants are recognised immediately upon award.
