JAMES CROPPER PLC ('THE COMPANY')

Non-beneficial Holdings

The Company reported that due to an administrative error the Non-beneficial holdings of certain Directors of the Company were reported incorrectly on the Announcement made on 21 February 2011 which impacted on subsequent Announcements.

The Announcement made on 21 February reported on the award of Company shares to Directors under the James Cropper PLC 2008 Long Term Incentive Plan, and the disposal of a proportion of the shares awarded to the Directors in order to settle tax/nic liabilities of which 36,000 shares disposed were acquired by James Cropper EBT Ltd.

The Announcement contained a statement that as a result of the transactions James Cropper EBT Ltd had an interest in 196,000 ordinary shares in the Company representing 2.31% of the issued capital. The correct figure should have been 124,000 shares in the Company representing 1.46% of the issued share capital of the Company.

Due to the error the Non-beneficial holdings of certain directors were mis-stated as follows:

Subsequent Announcements on 11 March 2011 referring to the acquisition of shares in the Company by James Cropper EBT Ltd, and on 15 March 2011 relating to a gifting of shares by Mr J.A.Cropper, used the incorrect Non-beneficial holdings.
