Annual General Meeting (AGM) - update
In light of the public health advice and Stay At Home Measures imposed by the UK Government on 23 March 2020 in response to the Covid-19 outbreak, the Board has reviewed the arrangements for the AGM which will take place on 23 April 2020 at Cowick Hall, Snaith, Goole, East Yorkshire, DN14 9AA at 12 noon.
Under the Stay at Home Measures, public gatherings of more than two people are not permitted and so shareholders will not be allowed entry to the Company's AGM in person. Shareholders wishing to vote on any of the matters of business at the AGM are therefore strongly encouraged to submit their votes by proxy and to appoint the Chair of the meeting as their proxy for this purpose.
The AGM will be convened with the minimum necessary quorum of two shareholders (which will be facilitated by Croda). All valid proxy votes (whether submitted electronically or in hard copy form) will be included in the poll to be taken at the meeting. To the extent that any shareholder has already appointed a proxy other than the Chair of the meeting, such shareholder should submit an updated proxy form within the stated deadline to appoint the Chair of the meeting instead.You can submit your proxy vote electronically by accessing the shareholder portal at www.signalshares.com. A hard copy proxy form is available upon request from Link Asset Services at enquiries@linkgroup.co.uk. Proxy forms should be completed and returned to Link Asset Services, The Registry, 34 Beckenham Road, Beckenham, Kent, BR3 4TU. Full details of how to complete the proxy form and return it are contained in the Notice of Meeting and the latest time for proxies to be lodged is 12 noon on Tuesday 21 April 2020.
The Company is taking the above measures to safeguard the health of shareholders and other participants and will continue to monitor the advice issued by the UK Government in relation to Covid-19.
Shareholders will be updated of any changes to these arrangements via the Regulatory News Service and the Company's website at www.croda.com/AGM.
