Admission to Trading on the London Stock Exchange, Total Voting Rights and Appointment of Corporate Broker

 ("Caracal Energy" or the "Company")

Admission to Trading on the London Stock Exchange

Further to its announcement dated 4 July 2013, the Company is pleased to announce that today its common shares have been admitted to the premium listing segment of the Official List of the Financial Conduct Authority and begin trading on the London Stock Exchange's main market for listed securities ("Admission"), under the ticker "CRCL".

Total Voting Rights

Upon Admission, the Company's common share capital consisted of 115,657,752 issued and outstanding common shares ("Shares") without nominal or par value. The Company does not hold any Shares in treasury. Accordingly, upon Admission, the total number of voting rights in the Company was 115,657,752.

Shareholders may use the above total voting rights figure as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the common share capital of the Company under the Financial Conduct Authority's Disclosure and Transparency Rules (the "DTRs").

This announcement is in conformity with DTR 5.6.1.

Appointment of Corporate Broker

The Company has appointed RBC Capital Markets as its corporate broker.
