NON-EXECUTIVE DIRECTORS

The Company is pleased to announce the appointments of Mrs Anne-Francoise Nesmes and Mr John Bryant as Non-executive directors with effect from 1 July and 1 September 2018 respectively. The appointments form part of an ongoing review of Board membership to ensure that an appropriate number of independent Non-executive directors is maintained through orderly succession and without compromising the effectiveness of the Board and its committees.

Anne-Francoise brings recent and significant financial experience to the Company. She is currently the Chief Financial Officer of Merlin Entertainments plc and has held this position since 2016. Prior to joining Merlin, Anne-Francoise was the Chief Financial Officer of Dechra Pharmaceuticals PLC and also held a number of senior finance roles during her 16 year tenure at GlaxoSmithKline.

John brings over 30 years' experience to the Board with significant experience in finance, operations, M&A, strategy and portfolio transformation. He is the former Executive Chairman and CEO of global consumer goods company Kellogg. Prior to joining Kellogg in 1998, John held strategic and operational roles in several companies, world-wide. He is currently a Non-executive director of Macy's, Inc.

Don Robert's 9-year term of appointment came to an end on 8 May 2018 and he has decided to retire from the Board on 31 May 2018. John Bason will become the Senior Independent Director from 1 June 2018 in succession to Don.

There are no matters which require disclosure in respect of either Mrs Nesmes or Mr Bryant in accordance with LR 9.6.13 (2) to (6), who will both join the Audit, Corporate Responsibility, Nomination and Remuneration Committees.
