Related Party Transaction
Clive Watson, Helen Watson, Rupert Clark, John Roberts, Richard Prickett, and Neil Griffiths are considered to be related parties of the Company, and their participations in the Open Offer are therefore related party transactions under the AIM Rules for Companies.
Tarquin Williams and Alex Derrick, who are not participating in the Open Offer, and so are considered Independent Directors for the purposes of the Open Offer, consider, having consulted with Liberum Capital Limited, that the terms of the related party transaction are fair and reasonable insofar as Shareholders are concerned.
