CORDIANT DIGITAL INFRASTRUCTURE LIMITED(the "Company")

TOTAL VOTING RIGHTS

Following conversion of the C shares into Ordinary Shares on 20 January 2022 and, in accordance with the FCA's Disclosure Guidance and Transparency Rule 5.6.1A, the Company has 584,489,692 Ordinary Shares in issue, each of which carries one voting right. In addition, the Company has 6,554,528 Subscription Shares in issue, with no voting rights attached. No shares are held in treasury. Therefore, the total number of voting rights in the Company is 584,489,692.

Shareholders should use 584,489,692 as the denominator for the calculations by which they will determine whether they are required to notify their interest, or a change to their interest, in the Company under the FCA's Disclosure Guidance and Transparency Rules.
