30 April 2015 Clear Leisure plc ("Clear Leisure" or "the Company) Fundraising The Board of Clear Leisure plc is pleased to announce that it has today raiseda total of £110,000 (gross of expenses) through a placing of 11,000,000ordinary shares of 0.25 pence ("Placing Shares") at a price of 1 pence pershare. The funds raised will be used for general working capital purposes. The Placing Shares will, when issued, be credited as fully paid and will rankpari passu in all respects with the existing ordinary shares of 0.25 pence eachin the capital of the Company, including the right to receive all dividends andother distributions declared, made or paid in respect of such shares after thedate of issue of the Placing Shares. The Company has applied for admission of the Placing Shares to trading on AIM,a market operated by the London Stock Exchange plc (the "Admission"). It isexpected that Admission will take place and that trading in the Placing Shareswill commence on or around 7 May 2015. The Placing is conditional upon Admission becoming effective. Following Admission, the Company's enlarged issued share capital will comprise210,409,377 Ordinary Shares. The Company holds no shares in treasury. Thereforethe total number of Ordinary Shares with voting rights is 210,409,377 whichfigure may be used by shareholders in the Company as the denominator for thecalculations by which they will determine if they are required to notify theirinterest in, or a change in their interest in, the share capital of the Companyunder the FCA's Disclosure and Transparency Rules.
