Director/PDMR Shareholding Notification

Caledonia Investments plc ("Caledonia") has been notified pursuant to DTR 3.1.2R of the following purchases of its ordinary shares of 5p each involving three of its directors, Jamie Cayzer-Colvin, William Wyatt and The Honourable Charles Cayzer, and certain of their connected persons. All of the shares were purchased on 14 August 2014 at a price of 2142.74p per share. 

* The Hon Charles Cayzer is a trustee of this trust and therefore also has a non-beneficial interest in the shares purchased by it.

** The Dunchurch Lodge Stud Company is a private company controlled by Mr Wyatt and persons connected with him.

The shares purchased by The Dunchurch Lodge Stud Company will be registered in its own name and all of the other share purchases referred to above will be registered in the name of Caytrust Finance Company Limited.

Mr Cayzer-Colvin's total interests in Caledonia's ordinary shares following the above transaction are as follows:

Beneficial - 362,178 shares = 0.65%

Non-beneficial - 65,953 shares = 0.12%

Options - 32,786 shares = 0.06%

Performance share scheme awards - 48,962 = 0.09%

Deferred bonus plan awards - 29,534 shares = 0.05%

Mr Wyatt's total interests in Caledonia's ordinary shares following the above transaction are as follows:

Beneficial - 1,045,075* shares = 1.89%

Non-beneficial - 28,293 shares = 0.05%

Options - 32,786 shares = 0.06%

Performance share scheme awards - 81,604 = 0.15%

Deferred bonus plan awards - 49,224 shares = 0.09%

* includes 939,776 shares owned by The Dunchurch Lodge Stud Company.

The Honourable Charles Cayzer's total interests in Caledonia's ordinary shares following the above transaction are as follows:

Beneficial - 40,092 shares = 0.07%

Non-beneficial - 19,500 shares = 0.04%
