Director/PDMR Shareholding Notification

Caledonia Investments plc ("Caledonia") has been notified pursuant to DTR 3.1.2R of the following transactions involving three of its directors, Jamie Cayzer-Colvin, Stephen King and William Wyatt, and one of Mr Wyatt's connected persons, The Dunchurch Lodge Stud Company ("Dunchurch"):

On 12 June 2014, the following ordinary 5p shares were transferred at no cost from the Caledonia Investments plc Employee Share Trust ("Employee Share Trust") to the above-named directors under Caledonia's deferred bonus plan. 

Mr Cayzer-Colvin - 4,670 shares, representing 0.01% of Caledonia's total issued ordinary share capital, of which 2,203 were sold back to the Employee Share Trust and 2,467 shares were retained. The retained shares will be registered in Mr Cayzer-Colvin's name. 

Mr King - 6,444 shares, representing 0.01% of Caledonia's total issued ordinary share capital, of which 3,040 were sold back to the Employee Share Trust and 3,404 shares were retained. The retained shares will be registered in Mr King's name. 

Mr Wyatt - 8,470 shares, representing 0.02% of Caledonia's total issued ordinary share capital. Mr Wyatt sold 3,981 of the shares received to Dunchurch, a private family company with which Mr Wyatt is associated. These shares will be registered in Dunchurch's own name and the remaining 4,489 shares will be registered in Mr Wyatt's name.

The sales by directors were undertaken in order to cover income tax and national insurance costs arising on the transfers and were effected at a price of 2188.5p per share on the same date.

Messrs Wyatt's, King's and Cayzer-Colvin's total interests in Caledonia's ordinary shares following the above transactions are as follows:

Beneficial - 357,765 shares = 0.65%

Non-beneficial - 64,453 shares = 0.12%

Options - 32,786 = 0.06%

Performance share scheme awards - 48,962 = 0.09%

Deferred bonus plan awards - 29,534 = 0.05%

Mr King

Beneficial - 4,054 shares = 0.01%

Performance share scheme awards - 57,903 = 0.10%

Deferred bonus plan awards - 34,926 = 0.06%

Mr Wyatt

Beneficial - 1,042,890 shares * = 1.88%

Non-beneficial - 23,293 shares = 0.04%

Options - 32,786 = 0.06%

Performance share scheme awards - 81,604 = 0.15%

Deferred bonus plan awards - 49,224 = 0.09%

* Includes 938,106 shares owned by Dunchurch.
