Director/PDMR Shareholding Notification

Caledonia Investments plc ("Caledonia") has been notified pursuant to DTR 3.1.2R of the following transactions involving three of its directors, Jamie Cayzer-Colvin, Stephen King and William Wyatt:

On 1 June 2016, ordinary 5p shares were transferred at no cost from the Caledonia Investments plc Employee Share Trust ("Employee Share Trust") to the above-named directors under Caledonia's 2011 Deferred Bonus Plan and subsequently sold or retained as follows:

On the same date, Mr Wyatt also exercised options under Caledonia's 2005 Executive Share Option Scheme as follows. The options were exercised at a price of 1446p. 

All of the sales by the directors were effected in London at a price of 2393p per share and all of the shares sold were repurchased by the Employee Share Trust. The shares retained by Mr Wyatt and Mr King will be registered in their own names. 

The total interests of the above directors in Caledonia's ordinary shares, and the percentage of issued capital these shares represent, following the above transactions are as follows:

* includes 972,066 shares owned by The Dunchurch Lodge Stud Company, a private company controlled by My Wyatt and persons connected with him.
