Director/PDMR Shareholdings

This notification is made in accordance with DTR 3.1.4(1).

On 15 April 2016 in fulfilment of the share element of the 2015 bonus, as disclosed in the 2015 annual report, the following share awards over ordinary shares of 25p each in the Company were granted under the Clarkson PLC 2014 Long Term Incentive Plan (the "Plan") to Executive Directors of the Company. No consideration was paid for the grant of the awards.

The vesting of the share awards is subject to continued employment and they will normally vest on 15 April 2020.

On 15 April 2016 the following options over ordinary shares in the Company were granted at nil cost under the Plan.

The vesting of these options is subject to the fulfilment of certain performance conditions and continued employment of the directors. If these conditions are met, these options will normally vest and become exercisable on the later of the third anniversary of grant and the fulfilment of the relevant performance conditions.
