CINEWORLD GROUP PLC (the "Company")

On 10 April 2013, a nil-cost option to acquire 108,490 ordinary shares in the Company ("Shares") was exercised by a Director of the Company under the terms of the Cineworld Group 2007 Performance Share Plan (the "Plan"). The middle market quotation of a Share on the dealing day before the exercise date was 270.75 pence. Details are provided below:

This vesting related to the three year plan cycle ending in December 2012 and was subject to the satisfaction of EPS performance conditions.

Following the exercise and in accordance with the rules of the Plan, the award was settled by the issue of 108,490 Shares of which 59,402 were sold to meet statutory deductions. The Shares were issued directly to the award holder at the direction of the trustee of the Company's Employee Benefit Trust.

Following the above notifications, the total holding of Shares of the relevant Director is as follows:

The Company was informed of the above transactions relating to the Awards on 10 April 2013, such notification having been given by such Director in accordance with the requirements of paragraph DTR 3.1.2R of the Disclosure and Transparency Rules of the Financial Services Authority. The above notification is intended to satisfy the Company's obligations under DTR 3.1.4.R of the Disclosure and Transparency Rules of the Financial Services Authority.
