Catlin Group Limited (the "Company")
Total Voting Rights
In conformity with the FSA's Disclosure and Transparency Rules ("Rules"), we notify the market of the following:
The Company's share capital is 360,934,918 common shares of $0.01 each in the capital of the Company ("Common Shares") with voting rights following the issue of 335,683 Common Shares pursuant to the exercise of share options under the Savings-Related Share Option Scheme. The Company holds no shares in treasury. Therefore the total number of voting rights in the Company is 360,934,918.
The Catlin Group Employee Benefit Trust currently holds 16,148,249 Common Shares some or all of which may ultimately be distributed to participants in the Group's share schemes including the Catlin Group Performance Share Plan ("PSP") to the extent that the PSP awards vest. These shares are included in the above total voting rights figure but excluded by the Company in its reported earnings per share and book value per share figures.
The above total voting rights figure may be used by shareholders as the denominator for the calculations by which they will determine whether they are required to notify their interests in, or a change to their interest in the Company under the Rules.
