Ceramic Fuel Cells Limited02 March 2007 Ceramic Fuel Cells Limited (the "Company") Director Shareholding and Additional Listing On 2 March 2007, J W Dinsdale & Associates Pty. Ltd. was issued with 236,111ordinary shares of nil par value ("Ordinary Shares") in the Company,representing 0.08% of the issued share capital. This issue of shares was made as part-settlement of the Chairman's fundraisingagreement in accordance with the terms detailed in the Admission Document of 24February 2006. Under those terms, the first instalment of 236,111 shares wasissued in March 2006, and this is the second and final instalment of shares. The issue price of A$0.60 is the volume weighted average share price of theCompany's shares as traded on ASX for the 30 day period ending on the first dayof trading on AIM (ie 1st February to 2nd March 2006 inclusive). J W Dinsdale & Associates Pty. Ltd. is a company controlled by Julian Dinsdale,Chairman of the Company and therefore is considered to be a "related party" ofthe Company for the purposes of the AIM Rules. Following this announcement J W Dinsdale & Associates Pty. Ltd. is interested in772,222 Ordinary Shares, representing 0.25% of the issued share capital.Following the issuance of these Ordinary Shares the Company has 309,741,670Ordinary Shares issued and outstanding. Application has been made for these shares to be admitted to trading on the AIMmarket of the London Stock Exchange.
