("CFCL" or "the Company")

DIRECTOR SHAREHOLDING

On 23 April 2009, Jeff Harding, Non-Executive Chairman of Ceramic Fuel Cells, acquired 10,000,000 ordinary shares of nil par value ("Ordinary Shares") at a price of five Australian cents (2.2 pence) per share, as part of the recently completed rights issue offer to existing shareholders. This holding represents 0.97% of the issued share capital. 

Following this announcement, Jeff Harding is interested in 100,000 unlisted options and 10,350,000 Ordinary Shares representing 1.00% of the issued share capital.
