Celtic Resources Holdings PLC22 December 2005 Celtic Resources Holdings plc ("the Company") Additional listing and allotments to directors Application has been made for 672,310 new ordinary shares of Euro 0.25 each tobe admitted to trading on the AIM Market of the London Stock Exchange plc. Theseshares are being issued in settlement of amounts due to staff under the staffincentive scheme at £Stg1.74 per share. These allotments include payments to certain directors, whose interests in thecompany are thereby increased. Mr Foo has acquired 75,000 shares, Mr Worthingtonhas acquired 40,000 shares and Messrs McDermott and Nesbitt have acquired 26,000shares, each being the application of cash bonuses paid on condition that thesebe applied towards the subscription for shares at £Stg1.74 each, being the pricewhen the remuneration committee approved the staff incentive scheme allocations. Mr Foo now holds 2,922,756 ordinary shares, being 6.43% of the issued sharecapital of the company. Mr Foo also holds warrants over 250,000 sharesexercisable at £Stg1.563 per share, over 6,038 shares exercisable at £Stg1.10per share and over 312 shares exercisable at £Stg2 per share. Mr Worthington now holds 123,725 ordinary shares, being 0.27% of the issuedshare capital of the company. Mr Worthington also holds warrants over 4,687shares exercisable at £Stg2 per share. Mr McDermott now holds 1,216,470 ordinaryshares being 2.68% of the issued share capital of the company. Mr McDermott alsoholds warrants over 542,735 shares exercisable at €1.625 per share. Mr Nesbittnow holds 56,132 ordinary shares being 0.12% of the issued share capital of thecompany. Mr Nesbitt also holds options over 17,500 shares exercisable at €1.27per share and over 11,000 shares exercisable at €1.27 per share. As a result of this share issue, the Celtic Resources Holdings Plc EmployeeBenefit Trust No 2 now holds 2,047,000 shares, being 4.50% of the issued sharecapital of the company. These shares will rank pari passu with existing ordinary shares and dealings areexpected to commence in the new ordinary shares at 8.00 a.m. on Tuesday, 3rdJanuary 2006.
