Directors' Declaration

4 September 2009: Celsis International plc, the life sciences products and laboratory services company, today announces that following the appointment of Christopher Mills and Jeremy Brade as directors of the Company as announced on 3 September 2009, the Company confirms the following information about these directors.

Christopher Mills 

Mr Mills is a director of Izodia Plc, which entered into a company voluntary liquidation on 19 May 2004. All creditors have now been paid in full and the voluntary arrangement was completed on 20 January 2009.

Receivers were appointed to Versatile Group Limited, and its subsidiaries Versatile Projects Limited and Castle Finance Limited, of which Mr Mills was a director by Bank of Scotland who had charges and cross guarantees supporting a debt of £2.04 million in addition to which the group had net liabilities in excess of £700,000 to unpaid creditors. Versatile Group Limited was dissolved under section 652 of the Companies Act 1985 on 15 May 2001.

Receivers were appointed to Nationwide Security Group Limited, of which Mr Mills was a director, on 16 February 2000 and realised sufficient assets to repay all creditors and make a small distribution.

Administrators were appointed to PNC Telecom Plc on 23 June 2003 and the administration order was discharged (and PNC Telecom Plc resumed business) on 15 June 2004. Mr Mills was a director of PNC Telecom Plc until his resignation on 3 February 2003.

Jarvis Porter Group Plc was put into administration in August 2007 and all creditors have been paid.

There are no further details to be disclosed under the Continuing Obligations provisions of the Listing Rules (new rules LR9.6.13) in respect of Mr Mills. 

Jeremy Brade 

Administrators were appointed to PNC Telecom Plc on 23 June 2003 and the administration order was discharged (and PNC Telecom Plc resumed business) on 15 June 2004. Mr Brade was a director of PNC Telecom Plc from 3 February 2003 until 23 June 2003.

United Industries Public Limited Company went into Administration on 5 April 2006.  Mr Brade had resigned as a director on 28 October 2005.

There are no further details to be disclosed under the Continuing Obligations provisions of the Listing Rules (new rules LR9.6.13) in respect of Mr Brade.
