Character Group PLC23 February 2007 The Character Group plc ("Character Group" or the "Company") Director/PDMR Shareholding The Company was notified today that the wife of Mr J Kissane, Mrs BeverlyKissane, has exercised share options entitling her to an additional 8,000ordinary shares in the capital of the Company at 101 pence. Mr Kissane, an Executive Director of the Company, now has a beneficial interestin 1,470,300 ordinary shares in the Company representing 3.23 per cent. of thetotal voting rights of the Company. For the purposes of the transitional provisions of the Financial ServicesAuthority's Disclosure and Transparency Rules, the total number of ordinaryshares of 5p each of The Character Group plc in issue as at the date of thisnotice is 46,525,909. The Company holds 979,322 ordinary shares in Treasury which do not carry anyvoting rights. Therefore, the total number of ordinary shares carrying voting rights inCharacter Group is 45,546,587.
