Launch of Issue of Notes

Amsterdam, The Netherlands - 3 March 2016 - Coca-Cola HBC Finance B.V. (the "Issuer") today announces the launch of a Euro denominated issue of notes (the "New Notes") under the Issuer's €3 billion Euro Medium Term Note Programme. The size and price of the New Notes are expected to be announced later today.

The New Notes are guaranteed by Coca-Cola HBC AG and Coca-Cola HBC Holdings B.V.

Application will be made for the New Notes to be admitted to the Official List of the UK Listing Authority and to trading on the Regulated Market of the London Stock Exchange plc. Settlement and the issue of the New Notes is expected to occur on 10 March 2016.

The Issuer has also announced today its invitation to holders of the 4.250% notes due 16 November 2016 issued by the Issuer and guaranteed by Coca-Cola HBC AG and Coca-Cola HBC Holdings B.V. (the "2016 Notes") to tender their 2016 Notes for purchase by the Issuer for cash (the "Tender Offer"). The Tender Offer is being made on the terms and subject to the conditions contained in the tender offer memorandum dated 3 March 2016 (the "Tender Offer Memorandum") prepared by the Issuer, and is subject to the offer restrictions set out in the Tender Offer Memorandum.
