Charlemagne Capital Limited (the "Company") announces that 10,500,000 new ordinary shares of US$0.01 each ("New Ordinary Shares") in the capital of the Company have been issued and allotted in order to satisfy share awards.

The Company further announces that it has applied to the London Stock Exchange for the New Ordinary Shares, which will rank pari passu with the existing issued ordinary shares in the Company, to be admitted to trading on AIM. Admission of the New Ordinary Shares is expected to become effective on 17 January 2014.

The Company's total issued ordinary share capital after the admission of the New Ordinary Shares will be 290,885,616 ordinary shares. The Company does not hold any ordinary shares in treasury. Therefore the total number of ordinary shares with voting rights in the Company is 290,885,616. This figure of 290,885,616 ordinary shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
