Performance Share Plan

The Company announces that on 31 July 2018, the first annual conditional award of ordinary shares of 5p each in the capital of the Company ("Ordinary Shares") under the Carclo Performance Share Plan 2018 ("2018 PSP") was made to two executive directors and five senior managers.

Mr Christopher Malley, Chief Executive, was granted a conditional award of 304,000 Ordinary Shares under the 2018 PSP. Following this award, the total outstanding number of Ordinary Shares conditionally awarded to Mr Malley under the PSP is 723,000.

Mrs Sarah Matthews-DeMers, Group Finance Director, was granted a conditional award of 204,000 Ordinary Shares under the 2018 PSP. Following this award, the total outstanding number of Ordinary Shares conditionally awarded to Mrs Matthews-DeMers under the PSP is 204,000.

Performance measures for these awards are equally weighted between Earnings per Share ("EPS") and Total Shareholder Return ("TSR") targets, whereby 50% will vest after three years based on TSR performance compared to the FTSE Small Cap Index and 50% will vest after three years based on EPS performance (growth in underlying earnings excluding IAS19 pension accounting) over the three year period.
