Central African Gold PLC15 November 2007 Central African Gold Plc ("CAG" or the "Company") Change in Directors' Interests The Company, subject to admission to trading on AIM, issued 8,000,496 newordinary shares of 0.5p each ("Ordinary Shares") on 13 November 2007 pursuant tothe exercise of 40,002,484 options and listed warrants. 10,000,000 listedwarrants and 5,000,000 options were exercised by Roy Pitchford, a director ofthe Company. Under the terms of the listed warrants and options exercised by MrPitchford, every five warrants or options held entitled him to subscribe for oneOrdinary Share at 5p per share. Accordingly, Mr Pitchford will receive 3,000,000Ordinary Shares. In accordance with the FSA's Disclosure and Transparency Rules, the Companywould like to notify the market that the aforementioned director's interest inthe issued share capital of the Company is as follows: Number of ordinary shares % of enlarged ordinary share capitalRoy Pitchford 6,000,000 5.7% Application will be made for the new Ordinary Shares to be admitted to tradingon AIM. Admission is expected to become effective on 19 November 2007. The newOrdinary Shares will, on admission to trading on AIM, be credited as fully paidand rank pari passu in all respects with the existing issued Ordinary Shares. Following admission of the new Ordinary Shares to trading on AIM, the enlargedshare capital will comprise 106,079,962 Ordinary Shares. This figure may be usedby shareholders as the denominator for the calculations by which they willdetermine if they are required to notify their interest in, or a change to theirinterest in, CAG, under the Disclosure and Transparency Rules. Following admission the Company will have 17,619,950 warrants to subscribe forOrdinary Shares in issue, every five of which entitle the holder to subscribefor one Ordinary Share.
