Capital & Regional plc (the "Company")
Result of General Meeting
Capital & Regional plc announces that at a General Meeting of the Company, duly convened and held today at 9:30 a.m., the resolutions as set out in the Notice of General Meeting which were included in the Circular dated 13 November 2014 were passed on a show of hands.
Proxies were received by the Company from shareholders in advance of the meeting as set out in the table below. The Company has a total of 700,752,626 ordinary shares with voting rights in issue.

Following shareholder approval the Buyback Agreement has been executed and the Deferred Shares will be cancelled shortly. Following completion of this and filing of the amended articles of association the Company will submit its election to convert to a Real Estate Investment Trust as of 31 December 2014.
