NOTIFICATION OF INTEREST PURSUANT TO DTR 3.1.2 OF THE DISCLOSURE AND TRANSPARENCY RULES

On 28 April 2015, Capital & Regional plc (the Company) received notification that Mstead Limited acquired 600,000 ordinary shares in the Company on 28 April 2015 at a price of 56.2p per share.

Following this Mstead Limited owns 46,258,107 shares representing 6.601% of the issued share capital of the Company.

Louis Norval has a beneficial interest in Mstead Limited. Following this transaction Louis Norval has a beneficial interest in ordinary shares in the Company of 196,648,099 shares representing 28.062% of the issued share capital.
