Director's share dealings - DTR 3.1.4

Mr Nigel Alliance OBE, a non-executive director of the Company, has today informed the Company of the following dealing in ordinary shares of the Company, which took place in Manchester on Friday 1st June 2012.

The release from legal charge and transfer back into the legal ownership of Mr Nigel Alliance of 2,500,000 ordinary shares of the Company, formerly held by Brown, Shipley & Co Limited as collateral as previously announced on Friday 19 February 2010.

Consequently, of the 10,866,491 ordinary shares originally pledged by Mr Nigel Alliance to Brown, Shipley & Co Limited, a balance of 8,366,491 ordinary shares of the Company continues to be held by Brown, Shipley & Co Limited as collateral. The legal title to these 8,366,491 ordinary shares will remain with Brown, Shipley & Co Limited but with Mr Nigel Alliance retaining all beneficial, voting and dividend rights in the shares.

There has been no change to the number of voting rights or the beneficial holding in the Company held by Mr Nigel Alliance as a result of this transaction. Mr Alliance continues to have a beneficial interest in 24,658,313 ordinary shares representing 8.69% of the issued share capital of the Company and a non beneficial interest in 6,830,943 ordinary shares representing 2.41% of the issued share capital of the Company.
