Offer for Subscription - Update

The Board of Baronsmead Venture Trust plc (the "Company") announced on 4 October 2019 that it had published a prospectus in conjunction with Baronsmead Venture Trust plc in relation to an offer for subscription to each raise up to £20 million in aggregate (before costs) with an over-allotment facility to each raise up to a further £5 million in aggregate (the "Offer").

The Board of the Company has been advised that, on the basis of Subscription Forms and Electronic Subscription Forms received during the course of 17 March 2020, the Offer (including the over-allotment facility) has become fully subscribed. In accordance with the terms of the Offer investors whose Subscription Forms and/or Electronic Subscription Forms are received after the Offer became fully subscribed will have their subscription monies returned in accordance with the terms and conditions of the Offer.

The fourth and final allotment of New Shares under the Offer is expected to be on or around 31 March 2020. Dealings in the new ordinary shares issued pursuant to the Offer will become effective on 1 April 2020.
