BSF Enterprise PLC ("BSF" or the "Company"), a leading innovator in tissue-engineered materials, is pleased to announce that it has conditionally placed 4,725,000 new ordinary shares in the Company ("Placing Shares") raising £141,750 at 3p per share in a placing ("Placing") within the Company's remaining headroom for shares available under the Financial Conduct's Authority Rules.

Shard Capital is acting as sole broker to the Company.

In light of the significant news on T-Rex leather last Friday we had some small additional headroom for investment and this fundraise represents continuing support from the Company's largest shareholder to bolster the Company's strategic business and growth plans, with the possibility of significant value inflection points throughout 2025.

Completion of the Placing is conditional on, inter alia, the Placing Shares being admitted to listing on the Equity Shares (transition) category of the Official List and to trading on the London Stock Exchange's main market for listed securities ("Admission"). Admission is expected before 15 May 2025.

Applications will be made to the FCA and to the London Stock Exchange for Admission in respect of all the Placing Shares proposed to be issued on completion of the Placing. 

The rights attaching to the Placing Shares will rank pari passu with the existing ordinary shares of the Company. This announcement contains inside information for the purposes of Article 7 of Regulation 2014/596/EU which is part of domestic UK law pursuant to the Market Abuse (Amendment) (EU Exit) regulations (SI 2019/310).
