 Extension of Share Buyback Programme

On 28 January 2025, Brooks Macdonald Group PLC ("Brooks Macdonald" or "the Company") announced a share buyback programme ("Buyback Programme") of up to £10 million, which was due to complete in September 2025. On 4 September 2025, the Company announced that it intended to continue the Buyback Programme and the Company now confirms that the duration of the Buyback Programme has been extended to 31 December 2025 (unless completed or terminated earlier). The Buyback Programme will continue to be carried out in accordance with the Company's general authority to repurchase ordinary shares ("Shares") granted at its Annual General Meeting ("AGM") held on 24 October 2024, and the Company will seek to renew this authority at its AGM on 28 October 2025.

As of 4 September 2025, the Buyback Programme had resulted in the repurchase in aggregate of 538,000 of the Company's Shares for a total consideration of approximately £8.2 million (this represented approximately 3.26% of the Company's issued share capital as at 28 January 2025). All of the repurchased Shares were cancelled.

As at the close of business on 4 September 2025, the Company's total issued share capital consisted of 15,982,539 Shares. The Company does not hold any Shares in treasury and, therefore, the total number of Shares carrying voting rights in the Company is 15,982,539. 

All other terms of the Buyback Programme as set out in the announcement on 28 January 2025 remain unchanged.
