Directors' Dealings

The Company announces that Mr Peter Tom, Chairman, has exercised a put option over his 2,000 Management Participation Shares in the Company's subsidiary Marwyn Materials Investments Limited ("MP Shares") which were issued in 2008. Following Mr Tom's exercise of the put option over 2,000 MP Shares, it is expected that the MP Shares will be exchanged for 18,649,926 ordinary shares of nil par value in the Company ("Ordinary Shares").

The Company further announces that Mr Simon Vivian, Group Chief Executive, has exercised a put option over 2,000 MP Shares. Following Mr Vivian's exercise of the put option over 2,000 MP Shares it is expected that the MP Shares will be exchanged for 18,649,926 Ordinary Shares.

The Company further announces that Mr Ian Peters, Group Finance Director, has exercised a put option over 1,000 MP Shares. Following Mr Peters' exercise of the put option over 1,000 MP Shares it is expected that the MP Shares will be exchanged for 9,324,963 Ordinary Shares.

Following completion of the above exchanges no further MP Shares will remain outstanding, and each director is expected to have an interest in the number of Ordinary Shares set against their name below:

* Following the allotment, issue and admission of the new Ordinary Shares required to satisfy the above exchanges.
