ANNOUNCEMENT

Dividend Declaration

The Ordinary General Assembly of Shareholders of Bank Audi sal convened on April 10, 2018 and resolved, among other things, to (i) approve the Bank's accounts for the year 2017 and (ii) declare a gross distribution of dividends as follows:

- To Holders of Series "G" Preferred Shares a total of USD 9 Million on the basis of USD 6 per share.

- To Holders of Series "H" Preferred Shares a total of USD 4.875 Million on the basis of USD 6.5 per share.

- To Holders of Series "I" Preferred Shares a total of USD 17.5 Million on the basis of USD 7 per share.

- To Holders of Series "J" Preferred Shares a total of USD 11 Million on the basis of USD 4 per share.

- To Holders of Common Shares: a total of LBP 331.4 Billion on the basis of LBP 829.125 per share.

Dividends will be paid through Midclear S.A.L (after deduction of the withholding tax where applicable) starting April 16, 2018 for the holders of shares as at April 13, 2018 (Record Date), according to the records of Midclear S.A.L.
