Total Voting Rights
B.P. Marsh, the niche venture capital provider to early stage financial services businesses, announces that on 22 April 2020, a total of 17,086 ordinary shares of 10p each ("Ordinary Shares") which were being held in treasury were transferred to the B.P. Marsh SIP Trust. As a result, together with the previously unallocated Ordinary Shares, the B.P. Marsh SIP Trust has 21,934 Ordinary Shares available for allocation.
Subsequently 21,934 Ordinary Shares, held in the B.P. Marsh SIP Trust, have been awarded to eligible employees as part of the Company's HMRC Sanctioned Share Incentive Plan ("SIP") as 'Free Shares' ("2020 Free Share Award").
A total of 11 eligible employees applied for the 2020 Free Share Award and have each been granted 1,994 Ordinary Shares, representing approximately £3,600 at the market price at the time of invitation. The 2020 Free Share Award is subject to a 1-year forfeiture period.
Certain Directors and Persons Discharging Managerial Responsibilities ("PDMR") have participated in this award and further details of the Directors' and PDMRs' interests in Ordinary Shares (as at today's date, following the 2020 Free Share Award) are set out below:

The Company holds 67,972 Ordinary Shares in Treasury. The figure of 37,398,028 may be used by shareholders as the denominator for the calculations by which they will determine whether they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
